A guarantee burnoff or reduction can improve a sponsor's risk position, but the anticipated reduction should not be recorded as current before its conditions are satisfied. The relevant questions are what performance is required, over which period, under which definitions and what document makes the change effective.

Create a release schedule when the financing closes. Working backward from the intended reduction date helps the borrower collect the right evidence and avoid discovering that a strong month does not satisfy a required quarter, that leased space is not qualifying occupied space or that an acknowledgement remains outstanding.

## Separate different forms of reduction

The [September 12, 2025 ACRES carry guaranty](https://www.sec.gov/Archives/edgar/data/1332551/000119312525207376/acr-ex10_4.htm), Section 2.15, supplies a historical example of a cutoff tied to specified conditions. It concerns the scope of future obligations under that agreement, not a universal release of all accrued liability or every other guarantee.

Other negotiated structures may reduce a payment cap, terminate a completion obligation, release one guarantor or stop certain future carry costs. Describe the actual change precisely. “Burnoff achieved” can otherwise conceal obligations that remain in effect.

Read the related loan agreement and amendments for incorporated definitions. Identify whether the condition is automatic upon objective satisfaction, requires a certificate or depends on lender confirmation or discretion. Counsel should determine the legal effect; the financial record should distinguish submitted evidence from an effective release.

## Worked exhibit: performance and occupancy do not align

Assume an invented payment guarantee begins with a cap equal to 25% of a constant $4 million principal balance. It can reduce to 10% only after two consecutive calendar quarters with at least 1.20× coverage, qualifying occupied-and-paying occupancy of at least 90% at the request date, completion of specified work, no continuing default and written lender confirmation. These are hypothetical negotiated terms, not program thresholds.

| Quarter | Accepted cash flow | Defined debt service | Coverage | Occupied-and-paying share at quarter end |
|---|---:|---:|---:|---:|
| Q1 | $106,200 | $90,000 | 1.18× | 82% |
| Q2 | $110,700 | $90,000 | 1.23× | 87% |
| Q3 | $113,400 | $90,000 | 1.26× | 89% |
| Q4 | $109,800 | $90,000 | 1.22× | 91% |

Q2 and Q3 satisfy the two-quarter coverage condition, but Q3 occupancy is below the separate 90% requirement. At Q4, Q3 and Q4 satisfy coverage and the occupancy input exceeds the threshold. Assume the required work is accepted and no continuing default exists at that time. Only then is the modeled operating evidence ready for the request.

The cap is $1 million before reduction and $400,000 afterward, a $600,000 change. If written confirmation is issued and becomes effective on January 15 after Q4 under the invented terms, the schedule should not treat the cap as reduced on December 31. The effective-date requirement is part of this example; another agreement may work differently.

## Build evidence around the actual definitions

For coverage, retain the source statements, adjustments, debt-service denominator and calculation period. For occupancy, distinguish signed leases, delivered space, physical occupancy, rent commencement and actual payment if the definition requires them. A leasing dashboard may use a different measure from the guarantee condition.

For completion, list the required certificates, approvals, lien-related evidence and lender acceptance. Do not assume the construction team's operational milestone satisfies every financing document. For default status, review the full obligation register with the appropriate professionals rather than relying only on whether monthly interest was paid.

| Condition | Evidence owner | Completion evidence |
|---|---|---|
| Consecutive coverage periods | Finance lead | Versioned calculation tied to accepted financial records |
| Qualifying occupancy | Property manager | Lease, possession, commencement and collection evidence as required |
| Required work completed | Project team | Defined completion package and required acceptance |
| Reporting current | Borrower administrator | Delivery receipts and unresolved-question log |
| Effective reduction | Counsel and lender | Applicable confirmation, release or documented automatic condition |

The evidence should reproduce the condition without overstating it. A certificate can attest to facts, but it should not omit unresolved exceptions or silently change a definition to make the result pass.

## Test what happens after the milestone

Ask whether the reduction is permanent, can be reinstated after specified events or applies only to obligations first arising afterward. Determine whether previously accrued amounts, enforcement expenses or separate indemnities remain. Preserve the original guarantee and the reduction document together so the continuing scope can be reconstructed.

Also identify whether a new advance, extension, ownership change or amended business plan requires additional support. A reduction negotiated for one phase should not be assumed to cover a later increase in financing. Update sponsor reporting when the actual documents change.

## Keep current and projected exposure separate

Before the conditions are met, report the current documented cap and a separate projected reduced cap with its outstanding conditions. This avoids overstating sponsor capacity for another project. If the expected date moves, update the liquidity and contingent-obligation schedule rather than leaving an expired forecast in place.

Once effective, record the date, exact obligations affected and supporting evidence. Notify the people maintaining sponsor commitments and lender reporting so their records agree. The completed schedule should establish what changed and what remains, with enough evidence for another reviewer to confirm the conclusion without relying on management's expectation of stabilization.
