Determine whether buyer approval can fit the acquisition timetable.
A loan assumption should be evaluated as a new approval process attached to an existing debt structure. The buyer needs to establish whether the proposed transfer is permitted, what approvals are required, which obligations continue and what financial conditions must be satisfied. An attractive existing coupon does not establish that the buyer can assume the loan on the proposed date or retain every existing term.
Article 7 of the historical Dean Member mezzanine agreement illustrates transaction-specific transfer conditions, organizational information and possible consent requirements. It is not a universal assumption program. The actual mortgage, note, guarantees, servicing instructions and proposed assumption documents must be reviewed for the transaction.
Map the approval chain
Start by identifying the entity that owns the debt, the servicer or administrator handling the request, and any other approval role identified by the documents. The person receiving the application may not have authority to approve every requested change. Record where the request must be submitted, what makes it complete and which conditions can remain after preliminary consent.
The buyer package should connect the proposed acquiring entity, ownership, management experience, financial capacity, transaction funding and intended property plan. Existing property performance belongs in a separate part of the package. A strong property does not answer whether the proposed guarantor and buyer structure are acceptable.
| Dependency | Evidence | Decision needed | Timing risk |
|---|---|---|---|
| Transfer path | Existing documents and transaction structure | Is assumption available for this transfer? | Purchase deadline may precede final consent |
| Buyer review | Ownership and financial package | Is the proposed buyer accepted? | New investor can require renewed review |
| Support obligations | Proposed guarantees and indemnities | What continues, changes or is released? | Seller release may remain unresolved |
| Economic conditions | Balance, fees, reserves and required paydown | Can buyer fund the final structure? | Cash requirement may exceed initial estimate |
| Closing mechanics | Assumption and purchase documents | Are all conditions satisfied together? | One approval may expire before another arrives |
Reconcile a required paydown through settlement
Assume a property costs $8 million and existing principal is $5 million. With no paydown and $350,000 combined assumed costs and new reserves, buyer cash would be $3.35 million: $8.35 million uses less $5 million assumed debt.
Now suppose approval requires principal reduced to $4.5 million at transfer. Buyer cash becomes $3.85 million, a $500,000 increase. The assumed debt credit in the purchase settlement is now $4.5 million. Of the $3.5 million cash allocated toward the price, $500,000 is directed to the old lender for the required reduction and $3 million remains for the seller before seller-side costs. The separate $350,000 funds the buyer’s costs and reserves.
Do not add another $500,000 paydown use after already reducing the assumed debt credit and allocating that amount from price settlement. That would count the same cash twice. Alternatively, a closing statement can show the original $5 million debt credit plus a separate $500,000 reduction, but every associated seller credit and payment must reconcile to the same total economics. Use one consistent presentation.
These figures do not state who contractually bears the paydown. The purchase agreement and negotiated economics determine that allocation. They show the buyer’s cash requirement under the stated scenario.
Verify what changes after approval
A principal reduction may or may not change scheduled installments. If the note’s payment remains fixed, the buyer should not assume monthly debt service falls in proportion to principal. Obtain the applicable amortization treatment, payment date and maturity balance from the approved documents or a reconciled servicing schedule.
Likewise, assumption does not automatically release the seller or an existing guarantor from every obligation. The release documents should identify the obligations, effective time and any surviving liabilities. The buyer’s acceptance and the seller’s release are separate deliverables. Do not treat a consent email as a complete substitution of parties.
Keep the purchase deadline tied to approval evidence
Suppose the application is complete on day 10, buyer review takes 25 days, legal documentation takes 15 days after approval and funding coordination takes five days. Earliest closing is day 55. If the purchase financing decision is day 35, that decision coincides only with expected buyer approval, before final documents and funding conditions are resolved.
The buyer should identify what can be concluded at day 35, what remains conditional and what loss arises if documents cannot be completed. An application delay of seven days shifts the full chain to day 62 unless an actual dependency can be shortened. A low coupon cannot cure a missed contractual date.
The final assumption decision package should show approved parties, continuing terms, changed obligations, exact cash requirements and outstanding conditions. That allows the buyer to compare the assumable structure with an alternative financing path on complete economics and a credible schedule, rather than on the existing interest rate alone.
