Managing multiple lender conversations and exclusivity terms

Coordinate parallel discussions without violating agreed restrictions. Includes outreach status and exclusivity obligation tracker.

Illustrative examples. This is a constructed educational scenario, not a reported Jaken Finance Group transaction or financing offer.
The decision in brief

Coordinate parallel discussions without violating agreed restrictions.

Several lender conversations can preserve alternatives, but only if the borrower can identify who has received what, which expenses are authorized and what contractual restrictions have been accepted. A contact list is not an outreach control system. The control system must connect submission versions, legal obligations, active decisions and stop instructions.

The SEC-filed Dean Member loan agreement illustrates that funding depends on specified conditions rather than conversation alone. It is a historical individual agreement and does not establish rules for exclusivity. Exclusivity, expense reimbursement, confidentiality and termination must be read in the actual engagement or proposal with appropriate counsel. The examples below are invented workflow terms, not interpretations of a real contract.

Map the parties before sending the package

For each conversation record the proposed lender or capital vehicle, the direct contact’s role, any intermediary, the credit decision maker and the party expected to fund. Distinguish an introduction from an authorized submission. If two intermediaries approach the same institution, the resulting duplication can make ownership of the process unclear even before any legal obligation is considered.

Maintain one approved transaction package with a version date. Record which version each recipient has and whether subsequent corrections have been delivered. A lender evaluating a $500,000 NOI version should not be compared without qualification to one evaluating a corrected $450,000 version. The apparent difference in proceeds may be an input difference rather than a difference in credit appetite.

Translate terms into an obligation tracker

Suppose three hypothetical paths have the following status:

Path Current evidence Expense authority Restriction requiring review Next action
A Written preliminary terms $12,000 reports authorized No exclusivity assumed in this example Complete environmental scope review
B Draft engagement None yet Proposed 30-day restriction beginning on signature Resolve scope and termination before signing
C Initial discussion None None identified yet Confirm whether the actual funding team has reviewed

The tracker should separately capture the restricted activity, covered property or transaction, named parties, start event, duration, extension mechanism, exceptions, expense treatment and termination method. A restriction on accepting another commitment may differ from a restriction on discussing financing. Do not reduce both to a generic “exclusive” checkbox.

If counsel’s interpretation is unresolved, say so. An internal tracking label cannot narrow the signed agreement. Record the operative document and the person who confirmed the interpretation, rather than publishing legal conclusions from this educational example.

Price overlapping activity accurately

Assume A has incurred $8,000 of its authorized $12,000. B requests a $20,000 deposit, of which a hypothetical agreement allows $15,000 to be applied to third-party costs and retains a $5,000 review fee. If B is signed and both paths continue where permitted, the borrower has committed up to $32,000 in combined expenditure, not just the newest $20,000 deposit.

Stopping A now does not necessarily save the unspent $4,000. The team must establish whether work is cancellable, already contracted or subject to a cancellation charge. If $1,500 of that remaining authorization is unavoidable and $2,500 can be canceled, the eventual A cost is $9,500. Combined with B’s full $20,000, total exposure is $29,500. An authorization ceiling and an incurred obligation are different ledger fields.

Report portability is another separate issue. A completed appraisal or environmental report is not assumed reusable merely because the borrower paid for it. The receiving lender and professional must address the scope and reliance arrangements. Track accepted transfer or reliance rights before deducting a report cost from a competing path.

Control updates and withdrawals

Assign one person to send material corrections and one person to approve new expense commitments. A withdrawal notice should identify the path, the transaction, the requested stop action and the request for a final expense accounting. Retain confirmation of receipt and any continuing obligation. Do not infer that a phone call canceled signed obligations.

Keep a decision log with the reason for continuing each path. “Awaiting final credit decision on the vacancy exception by Friday” is more useful than “backup lender.” A backup that has not reviewed the core risk or cannot meet the remaining schedule may provide little actual optionality.

When a lead path is selected, reconcile the entire tracker: outstanding submissions, deposits, report orders, obligations, permitted contact activity and documents requiring return or restricted access. The borrower should know the maximum remaining cash exposure and the next enforceable deadline. The aim is an organized competitive process in which alternatives and obligations remain visible together.
