Lender transfers and new servicing relationships

Reconcile loan balances, reserves, notices and pending requests when ownership or servicing changes, without assuming the economic terms changed.

Illustrative examples. This is a constructed educational scenario, not a reported Jaken Finance Group transaction or financing offer.
The decision in brief

A new lender or servicer creates an operational handoff. Verify authority and payment instructions, reconcile account records and preserve unresolved approvals across the transition.

A lender transfer or servicing change can affect where payments and reports go without necessarily changing the loan’s economic terms. The borrower needs a controlled handoff that identifies the authorized parties, effective dates and records transferred. It should not rely solely on a new logo or an unexpected payment instruction.

Distinguish ownership of the loan from administration of the account. An assignment, participation and servicing appointment can have different consequences. Ask counsel and the verified servicing contacts to identify what changed, what did not and which notices or borrower actions are required.

Establish the governing transfer provisions

Section 10.28 of the June 1, 2022 Block 40 agreement addresses assignments and participations, including a stated condition that borrower economics remain unchanged for the described assignments. Section 10.21 addresses servicing. These are provisions of an individual historical agreement, not a guarantee about every transfer.

For the actual loan, review the transfer notices, current contact information, account instructions and any requested replacement documents. Have counsel evaluate requested signatures and acknowledgments before treating them as administrative formalities.

Verify payment changes through an established independent channel. Use known contact information rather than relying on the phone number in an unexpected message. Record who confirmed the instructions and the effective payment date. This is especially important when a handoff occurs near a scheduled payment or payoff.

Worked exhibit: reconcile the opening account

Assume the prior servicer’s final statement shows $3,250,000 of principal and $145,000 in reserves. Before the transfer date, the borrower makes a $20,000 scheduled principal payment and a $15,000 additional principal payment. The reserve receives a $10,000 deposit and pays an approved $25,000 reimbursement. All transactions are confirmed as posted for this example.

Balance bridge Principal Reserve cash
Prior statement $3,250,000 $145,000
Scheduled principal paid −$20,000 —
Additional principal paid −$15,000 —
Reserve deposit — $10,000
Approved reimbursement — −$25,000
Expected opening balance $3,215,000 $130,000

If the new servicer opens principal at $3,230,000, the $15,000 additional payment appears absent from the handoff. If it reports reserves of $155,000, the $25,000 reimbursement appears absent. These are reconciliation exceptions requiring investigation, not proof of misconduct.

Check posting dates, payment allocation and whether the transactions belong before or after the effective transfer cut-off. Obtain supporting statements and correction confirmation. Do not simply adjust the borrower’s workbook to match an unexplained opening balance.

Protect against duplicate or missed payments

Confirm the last payment accepted by the prior servicer and the first payment due to the new servicer. If both issue a bill for the same period, identify the applicable instruction and how any already-sent payment will be credited. Avoid paying twice merely to clear two statements, but do not withhold a required payment without an informed resolution.

Keep proof of delivery and bank confirmation. If a payment is returned or redirected, track the amount and timing until it is credited correctly. The borrower needs an explanation for any late charge or suspense balance created during the transition.

Reconcile escrow and reserve transfers separately from principal. A reserve balance can be transferred after the loan record itself, creating a temporary mismatch. Record whether funds are in transit, unavailable or awaiting reconciliation rather than assuming they disappeared or became unrestricted.

Carry pending decisions forward

Create a list of open consent requests, approved but unpaid reserve releases, covenant questions, reporting corrections and modification discussions. For each, identify the last submission, supporting documents, current status and prior written response.

A new contact should receive the final current package, not an incomplete email chain. Ask whether existing approvals remain effective and whether any additional evidence is required. Do not assume a preliminary comment from the prior servicer binds a different decision maker.

Preserve approved budgets, leases and amendments so the new administrator can apply the correct terms. Where the new system’s fields conflict with executed documents, resolve the discrepancy through the authorized process.

Update the operating record

Revise the payment calendar, notice addresses, reporting portal and contact list only after verification. Keep the prior information with the transfer record so historical communications remain understandable. Update access permissions when personnel change and remove obsolete access through the appropriate process.

After the first complete billing cycle, reconcile principal, interest, reserves, fees and payment history again. A clean first payment does not establish that every migrated field is correct.

The completed handoff should show who now administers and owns the relevant interests, where required communications go and how each opening balance was derived. That protects continuity without assuming that a transfer either rewrites the bargain or requires the borrower to accept unexplained account differences.

Check automated debits as well as manual instructions. Confirm whether an existing authorization continues, is replaced or must be cancelled through the verified process.
