Turn an ambiguous term sheet into specific questions with decision consequences

Editable unresolved-terms register links exact language, competing interpretations, cash impact and the evidence needed to close each question.

Illustrative examples. This is a constructed educational scenario, not a reported Jaken Finance Group transaction or financing offer.
The decision in brief

Quote the location of the ambiguous term, state the competing interpretations and identify what would change financially. Close the question only when the required clarification is supported in the relevant written record.

A useful question register reduces ambiguity to a decision. Instead of asking whether a term sheet is “standard,” identify the exact language, the interpretations that matter and the consequence for cash, control or timing. Assign the question to someone able to resolve it.

The OCC handbook provides context for documenting structure and covenants. This original register does not determine whether a term sheet is binding or interpret an actual agreement. Those questions require the relevant documents and appropriate legal review.

Ask one answerable question at a time

A single row saying “clarify reserves, fees and extension” hides three decisions and usually receives a partial answer. Split it into separate rows, each linked to the correct document version and section. Keep the original wording in the transaction file.

An interpretation is a possibility to confirm, not a fact. If the clause is silent, say so. Do not fill silence with a favorable market custom and then model that custom as an agreed term.

Q001,Proposal A v2; fees paragraph,Does the 1% fee apply to commitment or initial advance?,"1% of $5m commitment = $50,000","1% of $4m initial advance = $40,000","$10,000 closing-use difference",Lender deal lead,Written clarification aligned with final fee provision,open
Q002,Proposal A v2; reserve paragraph,What must occur before the repair reserve can be released?,Reimbursement only after accepted work,Direct eligible payments may be permitted,Changes sponsor bridge liquidity and timing,Lender servicing/credit team,Defined conditions and accepted document language,response_pending
Q003,Proposal A v2; extension paragraph,Is extension conditional on a fresh approval?,Contractual option if listed tests satisfied,New discretionary approval required,Changes maturity contingency and execution risk,Lender and counsel,Final extension provision and applicable notice procedure, open

Q001 concerns the fee base. One percent of a $5 million commitment is $50,000; one percent of a $4 million initial advance is $40,000. The ambiguity changes closing uses by $10,000. That measurable consequence makes the clarification a financing decision, not merely an editorial preference.

Q002 may matter even if the reserve amount is already known. If the sponsor must pay contractors before reimbursement, a separate bridge-cash need can arise. Do not invent a release period; obtain the actual conditions and model them.

Q003 concerns whether an extension is an option under stated conditions or a new discretionary decision. The register does not decide that legal question. It directs the financing and legal teams to reconcile the actual language before the maturity plan relies on it.

Close the loop in the final documents

When a response arrives, link the evidence and identify whether it is a commercial clarification, a revised proposal or an executed document. Have the appropriate reviewer confirm its effect. A helpful email may answer a question while leaving the final contract inconsistent.

If a later draft changes the term, reopen the row or create a linked successor. Record why the previous answer no longer controls. This is especially useful when fee, reserve and extension provisions sit in different documents.

Use unresolved questions to manage commitments

Prioritize questions by the decisions they block. A $10,000 fee difference may be manageable; an unconfirmed funding condition may determine whether the transaction can close. Keep those consequences separate rather than sorting solely by dollar amount.

Share the register through the authorized transaction process and preserve the final disposition. The value is a clear record of what was asked, what evidence answered it and what the financing model now assumes.
