Waivers, reservations of rights and unresolved defaults

Read the scope and conditions of a waiver separately from payment acceptance, temporary discussions and any remaining default issues.

Illustrative examples. This is a constructed educational scenario, not a reported Jaken Finance Group transaction or financing offer.
The decision in brief

A limited waiver resolves only what its effective terms cover. Maintain a separate record for every issue, condition and reserved right before describing a loan as cured.

A borrower should not describe a loan as cured merely because a lender accepted a payment, continued discussions or granted relief on one issue. The meaning of those events depends on the documents, applicable law and the exact written response. A waiver can be limited to a particular event, period or purpose.

Begin with an issue list prepared with counsel. Identify each alleged or acknowledged failure, the relevant provision, notice dates, disputed facts and possible cure requirements. Keep factual corrections separate from negotiated relief. An inaccurate allegation may need correction; a valid unresolved obligation may require performance, amendment or waiver.

Read the operative scope

Sections 10.5 and 10.26(a) of the June 1, 2022 Block 40 agreement provide a historical example of limited written waivers and provisions addressing delay or acceptance of late payments. They illustrate why conduct should not automatically be treated as broad relief under another agreement.

For the live matter, identify who can grant the waiver, what must be signed, whether conditions precede effectiveness and which rights remain reserved. A reservation-of-rights communication should be reviewed for its actual scope rather than summarized as either “nothing changed” or “the lender approved everything.”

Counsel should determine the legal effect of communications and conduct. The operational record should preserve exact documents and dates so that assessment is based on evidence, not a relationship manager’s informal recollection.

Worked exhibit: one waiver, three open issues

Assume a hypothetical borrower has three separate matters under review: a late quarterly report, an unpaid $12,000 reserve deposit and a coverage result below the required level. It receives a signed waiver covering only the late report for a specified quarter, effective after payment of a $2,000 administrative fee. These terms are invented.

Matter Evidence or action Status under the assumed waiver
Late quarterly report Correct package delivered; $2,000 fee paid Covered if all waiver conditions are satisfied
$12,000 reserve deposit No payment yet made Remains unresolved
Coverage shortfall No relief included Remains unresolved

The cash required to satisfy the fee and missing deposit is $14,000. Paying that amount does not, by itself, resolve the coverage issue. Conversely, the $2,000 fee is not an additional reserve deposit and should not be credited toward the $12,000 obligation.

Suppose the defined annual cash flow is $470,000 and required annual debt service is $400,000. The ratio is 1.175x. An invented 1.25x requirement would need $500,000 of defined cash flow, leaving a $30,000 shortfall in that measurement. That is not necessarily a $30,000 cash cure; the documents must establish whether any cure mechanism exists and how it operates.

Distinguish performance from relief

Submitting a missing report can complete the reporting action while leaving questions about the historical late delivery. Depositing a required amount can satisfy the funding obligation while fees or other consequences remain unresolved. A waiver can address a consequence without changing future deadlines.

Record each result precisely. “Report delivered” describes an action. “Late-delivery default waived for Q2” describes a specific legal effect if supported by the effective document. “Loan fully compliant” is broader and should not be used unless the full review supports it.

A covenant waiver for one test date should not automatically change the threshold for later tests. If recurring performance is expected to remain weak, discuss an appropriate prospective solution rather than repeatedly assuming the earlier relief continues.

Track conditional effectiveness

A signed document may require a payment, certification, additional collateral or another event before it becomes effective. Build a condition list with evidence of completion. If the borrower misses a condition or deadline, obtain advice on the resulting status rather than assuming substantial performance is enough.

Preserve proof that the right party received required funds and documents. An initiated bank transfer is different from an accepted payment credited to the intended obligation. Confirm how fees, interest and principal are allocated when several amounts are due.

If a new issue arises during the waiver process, add it to the record. Do not assume it is included because it relates to the same property or reporting period. Ask for an explicit determination where the scope is unclear.

Maintain operations while rights are reserved

Continue preparing current reports, protecting the property and meeting obligations that remain in effect. The existence of negotiations does not establish permission to stop payments or ignore notice requirements. Any temporary arrangement should be documented with its conditions and duration.

Use a controlled communication record. Separate proposals from agreements and retain superseded drafts for context. Avoid circulating a summary that says “all defaults waived” when the actual document covers only one event.

At completion, produce an issue-by-issue status table: resolved by performance, covered by effective waiver, disputed, subject to temporary relief or unresolved. Attach the supporting evidence and the next required action. This gives the borrower an accurate operating position without overstating what a limited accommodation accomplished.
